Communioo Beta Terms of Use

1. Who operates Communioo
Communioo (the "Platform") is a beta software project currently in active development and testing. It is created, owned, and operated by Ayush Pandey, an individual ("I", "me", "Operator"). Communioo is not currently operated by a registered company, corporation, LLC, SRL/BV, or any other incorporated legal entity. Any reference to "Communioo" in these Terms, in the Platform, or in related communications refers to this individual undertaking, not to a company.
If a legal entity is formed to operate Communioo in the future, these Terms and the associated Privacy Policy and AI Policy may be assigned or transferred to that entity, and users will be notified of any such change.
2. What Communioo is (beta status)
Communioo is an association-management platform currently made available on an invitation-only, beta ("test") basis to live members of participating associations, so that real users can try it out and provide feedback before any commercial or stable release.
Because this is a beta:
- Features may be incomplete, may change without notice, and may be removed at any time.
- The Platform may experience bugs, downtime, data loss, or unexpected behavior.
- There is no guarantee of uptime, data retention, service continuity, or long-term availability.
- Data you enter or that is entered about you may need to be reset, migrated, or deleted as the Platform evolves.
- Reported issues are addressed on a best-efforts basis only. The Operator may investigate and fix bugs or issues reported by users, and may moderate content or access on request, but doing so is a courtesy extended during the beta, not a service-level commitment, warranty, or admission of fault, and creates no obligation to do so within any particular timeframe or at all.
3. No representations outside these Terms
Any description of Communioo — including marketing pages, demos, sales conversations, onboarding calls, support chats, or informal statements (whether from the Operator or otherwise) describing the Platform as tested, reliable, secure, or "production-ready" — is provided for general informational purposes only and does not form part of a warranty, guarantee, or contractual commitment. These Terms, the Privacy Policy, and the AI Policy are the entire and exclusive statement of the terms on which the Platform is provided. You confirm that you are not relying on any representation not expressly set out in these Policies.
4. Acceptance of these Terms
By creating an account, logging in, or otherwise using Communioo in any capacity, you agree to these Terms of Use, the Privacy Policy, and the AI Policy (together, the "Policies"), each of which is available on the Platform. If you do not agree, you must not use the Platform.
If you are using Communioo on behalf of, or as a representative of, an association, company, or other organization, you confirm that you have the authority to accept these Terms on their behalf, and both you and that organization are bound by them. You further confirm that you are accessing the Platform in a professional or business capacity (e.g., as a representative of a member company or association), and not as a consumer acting for personal purposes, and that these Terms are a business-to-business arrangement between you/your organization and the Operator.
5. Eligibility and accounts
- You must provide accurate information when using the Platform (e.g., name, email, company affiliation).
- You are responsible for maintaining the confidentiality of your login/access (including magic-link emails) and for all activity under your account.
- Accounts are intended for use by the individual or organization they were issued to and should not be shared.
6. Acceptable use
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable law or regulation;
- Attempt to gain unauthorized access to other users' data, accounts, or to the Platform's systems, or conduct any security testing, penetration testing, vulnerability scanning, or similar research against the Platform without the Operator's prior written permission;
- Upload or transmit malicious code, or attempt to disrupt, overload, or degrade the Platform;
- Misuse the AI features described in the AI Policy, including by using them to generate unlawful, infringing, or harmful content, or by submitting personal data of other members or competitively sensitive information without authorization (see the AI Policy);
- Scrape, resell, sublicense, or redistribute Platform data or functionality without permission;
- Impersonate any person or entity, or misrepresent your affiliation with any association or company;
- Post or share content via working groups, the community feed, messaging, or any other feature that violates competition/antitrust law (see Section 9) or breaches confidentiality obligations you owe to your employer, association, or others.
Responsible disclosure. If you discover a security vulnerability, bug that exposes other users' data, or similar issue, you must report it promptly and confidentially to ayush@communioo.com and must not exploit it, share it publicly, or disclose it to any third party before it has been addressed. Good-faith reporting made in compliance with this section will not be treated as a violation of these Terms.
I reserve the right to suspend or terminate access, or to remove content, for any user, at any time, with or without notice, particularly during this beta phase, without liability to you for doing so.
7. Your content and data
You retain ownership of the content and data you submit to the Platform (e.g., profile information, posts, comments, event registrations). By submitting content, you grant the Operator a license to host, store, process, and display that content solely as needed to operate and provide the Platform to you and other authorized users (e.g., your association and its members).
You are solely responsible for ensuring you have the right to submit any content or data you provide, including any personal data of third parties (see the Privacy Policy) and any confidential or commercially sensitive information belonging to your employer, association, or other companies.
No obligation to monitor; notice-and-takedown. The Operator does not pre-screen or generally monitor content posted by users (e.g., working group posts, community feed content, comments) and is not responsible for such user-generated content. If you believe content on the Platform is unlawful, infringing, or violates these Terms, report it to ayush@communioo.com and the Operator will make reasonable efforts to review and, where appropriate, remove it, without thereby accepting any liability for the content itself.
8. Intellectual property
The Communioo software, design, branding, and underlying technology are the property of the Operator (Ayush Pandey) as an individual, pending formation of any future legal entity. Nothing in these Terms transfers any ownership of the Platform, its code, or its branding to you. You are granted only a limited, non-exclusive, non-transferable right to access and use the Platform as intended, for as long as your account remains active.
Feedback. If you provide feedback, suggestions, or ideas about the Platform, you grant the Operator a perpetual, irrevocable, royalty-free right to use that feedback for any purpose (including to improve or add features to the Platform), without any obligation to compensate or credit you.
9. Competition / antitrust law — important for association members
Communioo may be used by employees of companies that compete with one another within the same industry association or working group. You and your organization are solely responsible for ensuring that any information you share via the Platform (including in working groups, the community feed, messaging, or events) complies with applicable competition/antitrust law (e.g., not exchanging competitively sensitive information such as pricing, capacity, or strategy with competitors). The Operator does not monitor content for antitrust compliance, provides no legal advice on this topic, and has no liability for any competition-law consequences arising from information shared by users. Associations are encouraged to maintain and communicate their own antitrust/competition-law compliance guidelines to members using the Platform.
10. Third-party services
Communioo relies on third-party infrastructure and service providers to operate, including (without limitation) database/hosting infrastructure and transactional email delivery. Where you choose to enable AI features, you connect your own third-party AI provider — see the separate AI Policy for details. The Operator does not control, and is not responsible for, the availability, security, or conduct of these third-party services beyond what is disclosed in these Policies.
11. Disclaimer of warranties — "AS IS" basis
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the Platform will be uninterrupted, secure, or error-free.
Because Communioo is an early-stage beta project operated by an individual with no dedicated infrastructure, legal, or security team, you acknowledge and accept that:
- The Platform may contain bugs, security vulnerabilities, or data-handling errors;
- Data loss, corruption, unauthorized access, or a data breach could occur; and
- You use the Platform entirely at your own risk.
12. Limitation of liability
To the fullest extent permitted by applicable law:
- The Operator (Ayush Pandey), acting in his individual capacity, shall have no liability — whether in contract, tort (including negligence), strict liability, or otherwise — for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business, goodwill, or data, arising out of or related to your access to or use of (or inability to access or use) the Platform, including any liability arising from data breaches, data loss, unauthorized disclosure of personal data, service interruption, or your use of AI features or any third-party service connected to the Platform.
- Subject to the carve-outs below, the Operator's total aggregate liability to you for any and all claims arising out of or related to the Platform shall not exceed EUR 100, reflecting that Communioo is currently provided free of charge on a beta basis.
- Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including (without limitation) liability for fraud or fraudulent misrepresentation, death or personal injury caused by negligence, wilful misconduct, or gross negligence, or any statutory rights or protections that applicable law does not permit to be waived (including, where applicable, obligations under data protection law that fall on a data controller or processor as a matter of law rather than contract). Where such mandatory liability applies, it is limited to the minimum extent, and for the shortest duration, permitted by the applicable law.
- This limitation applies regardless of whether the Operator was advised of the possibility of such damages, and even if a remedy fails its essential purpose, except to the extent stated above.
13. Assumption of risk / use at your own risk
You expressly acknowledge that you are using Communioo voluntarily and at your own risk, understanding that it is an unincorporated, individually operated beta project without the legal, financial, or organizational backing of a registered company. You are solely responsible for deciding whether it is appropriate to submit any particular data or content to the Platform.
14. Indemnification
You agree to indemnify and hold harmless the Operator from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any rights of a third party, including intellectual property, confidentiality, or competition-law obligations; or (d) content or data you submit to the Platform.
15. Force majeure
The Operator is not liable for any failure or delay in providing the Platform caused by events beyond his reasonable control, including but not limited to outages or failures of third-party infrastructure (e.g., hosting, email, or AI providers), internet or power outages, cyberattacks, denial-of-service attacks, acts of government, natural disasters, or other events of force majeure.
16. Changes to the Platform and these Terms
Given the beta nature of Communioo, these Terms, the Privacy Policy, and the AI Policy may be updated from time to time as the Platform evolves. Material changes will be communicated by email or in-app notice where reasonably practicable. Continued use of the Platform after changes take effect constitutes acceptance of the updated Policies.
17. Termination
You may stop using the Platform and request account/data deletion at any time by contacting the Operator (see Section 20). The Operator may suspend or discontinue the Platform, or your access to it, at any time, for any reason, including permanently discontinuing the beta, without liability to you.
18. Governing law and disputes
These Terms are governed by the laws of Belgium, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of Brussels, Belgium, except where mandatory consumer-protection law in your place of residence provides otherwise (noting that, per Section 4, use of the Platform is intended to be in a business/professional capacity).
19. Entire agreement, no waiver, assignment
These Terms, the Privacy Policy, and the AI Policy constitute the entire agreement between you and the Operator regarding the Platform, superseding any prior discussions or agreements. No failure or delay by the Operator in exercising any right under these Terms operates as a waiver of that right. The Operator may assign or transfer these Terms (including to a future legal entity operating Communioo, per Section 1) without your consent; you may not assign your rights under these Terms without the Operator's prior written consent.

21. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect. In particular, if the liability cap in Section 12 is found unenforceable as applied to a specific claim, that finding does not affect the enforceability of the exclusions of indirect/consequential damages or any other part of Section 12 as applied to other claims.
